Mr. Edinger represents US and international clients in handling all aspects and sizes of deals, including negotiating, documenting, coordinating due diligence for, and closing mergers and acquisitions, finance, and joint-venture transactions.

Mr. Edinger also advises debtor and creditor clients on workout, insolvency, and reorganization matters, as well as structuring, formation, and governance matters, including duties of directors and officers. In addition, Mr. Edinger serves as outside general counsel to a number of small and medium-sized enterprises.

Prior to founding Edinger Associates, Mr. Edinger was a partner for seven years and an associate for six years at Wiley Rein LLP in Washington, DC.

  • Lead counsel for the Entercom – CBS Radio merger divesture trust structuring and in the acquisition, operation, and sale of 16 radio stations in five markets
  • Counsel for Emmis Communications Corporation (EMMS) in its acquisition of radio stations WBLS(FM) and WLIB(AM), both licensed to New York, New York, for $131 million
  • Tower developers in respect of debt and equity financing, ground leases and licenses, real estate diligence, and related matters with public and private counterparties, and MLAs/ SLAs
  • Counsel for Urban One (UONEK) in auction, sale, and leaseback of 16 broadcast towers
  • Counsel for national public broadcasting company in auction, sale, and leaseback of 14 broadcast towers
  • Counsel for private equity portfolio company in purchase and subsequent sale of wireless backhaul network
  • Counsel for Franchise Services of North America Inc. in its acquisition and financing of Advantage Rent-A-Car from Hertz Global Holdings, Inc.
  • Counsel for real estate investment firm in restructuring of senior secured debt facilities, including elimination of unlimited guaranties
  • Counsel for 22-station regional radio broadcast group in corporate/transactional and FCC regulatory matters, including station purchase and sale deals, and chapter 11 bankruptcy and restructuring
  • Counsel for Latin American telecommunications company in sale of an undersea cable and telecommunications business in multiple jurisdictions
  • Counsel for publicly traded global media and technology company, including acquisition of radio station network in Bulgaria
  • Counsel for satellite company in financing and acquisition of ABS-1 satellite from Lockheed Martin and Intersputnik
